These Terms of Use (the “Terms”) are a binding agreement between you and the owners and operators of shownotes.tv (“shownotes.tv”, “we”, “us” or “our”). They govern your access to and use of the website at shownotes.tv, its subdomains, feeds and any related content or services (together, the “Site”).
By accessing or using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.
1. Who can use the Site
You must be at least 13 years old, or the minimum age required in your country to agree to these Terms, to use the Site. If you are under the age of majority where you live, you may use the Site only with the involvement and consent of a parent or guardian, who agrees to these Terms on your behalf.
2. Entertainment and general information only
The Site publishes commentary, explainers, recaps, opinion, speculation and fan theories about television programs and the people who appear in them. All content is provided for entertainment and general information purposes only. It is not professional, legal, financial or any other kind of advice, and you should not rely on it for any decision. All information is published as-is, and you use it entirely at your own risk.
Television plots, casting, release dates and the lives of cast members change often. Although we try to be accurate, we do not guarantee that any content is accurate, complete, current or free of errors, and content may be out of date by the time you read it. Articles about reality television reflect what cast members or others have said or reported publicly at the time of writing. They are not statements of fact about anyone’s private life, and theories and speculation are clearly opinion.
We may correct, update, change or remove any content at any time without notice. If you think something we published is wrong, email legal@shownotes.tv and we will review it.
3. Spoilers
Much of the Site discusses plot details, including endings and character deaths. By using the Site you accept that you may encounter spoilers, including in headlines, previews, summaries and links, and that we are not responsible for any spoiled viewing experience.
4. No affiliation
shownotes.tv is an independent publication. We are not affiliated with, sponsored by or endorsed by any television network, streaming service, studio, production company, or any cast member or person discussed on the Site, unless we say so explicitly. Show titles, character names, network names, logos and other trademarks belong to their respective owners and are used only to identify and discuss the works concerned.
5. Our content and your licence to use it
The Site and its content, including text, design, graphics, generated artwork, compilations, software and the selection and arrangement of all of these, are owned by us or our licensors and are protected by copyright, trademark and other laws. Except for material owned by third parties, all rights are reserved.
We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to view the Site in a web browser for your own non-commercial use, and to share links to it. You may quote short excerpts with a link back to the original article. Any other use requires our prior written permission.
6. What you must not do
You agree not to, and not to help or allow anyone else to:
- copy, republish, sell, license, frame, mirror or create derivative works from the Site or its content, except as allowed in section 5;
- use any robot, spider, scraper, crawler or other automated means to access, collect, copy or index the Site or its content, other than general-purpose search engines that follow our robots.txt;
- use any content from the Site to train, fine-tune, test, ground or otherwise develop any artificial intelligence or machine learning model or system, or include it in any dataset;
- remove, hide or alter any copyright, trademark or other notice on the Site;
- interfere with, disrupt, overload, probe, scan or test the vulnerability of the Site or its infrastructure, or bypass any security, rate-limiting or access control;
- use the Site for any unlawful, harassing, defamatory or fraudulent purpose, or to harass or target anyone discussed on it; or
- misrepresent your identity or your affiliation with us.
We may suspend or block anyone’s access to the Site at any time, for any reason or no reason, without notice or liability.
7. Things you send us
If you send us feedback, corrections, tips, ideas or other material (“Submissions”), you confirm that you have the right to do so and that the Submission is not confidential. You grant us a worldwide, perpetual, irrevocable, royalty-free, sublicensable and transferable licence to use, copy, modify, publish and otherwise exploit any Submission for any purpose without payment or credit to you, and you waive any moral rights in it to the extent permitted by law. We have no obligation to use or respond to any Submission.
8. Third-party links and services
The Site may link to or rely on websites, services and content that we do not own or control, including streaming services, social media and hosting and font providers. We are not responsible for any third-party website, service, content, product or practice, and linking to it is not an endorsement. Your use of any third-party service is at your own risk and subject to that third party’s terms.
9. Copyright and content complaints
We respect intellectual property and the rights of the people we write about. If you believe content on the Site infringes your copyright, is inaccurate, or unlawfully concerns you, email legal@shownotes.tv with: your name and contact details; the exact URL of the content; a description of the work or right concerned; an explanation of why you believe the content is unlawful or incorrect; and, for copyright claims, a statement that you own the rights or are authorized to act for the owner. We review notices promptly and may remove or change content at our discretion. We also comply with the notice-and-notice regime under Canada’s Copyright Act where it applies.
10. Disclaimer of warranties
The Site and all content are provided “as is” and “as available”, with all faults and without warranties or conditions of any kind, whether express, implied or statutory. To the fullest extent permitted by law, we disclaim all warranties and conditions, including of merchantability, merchantable quality, fitness for a particular purpose, title, non-infringement, accuracy and quiet enjoyment, and any arising from course of dealing or usage of trade. We do not warrant that the Site will be available, uninterrupted, secure or free of errors, viruses or other harmful components, or that any defect will be corrected.
11. Limitation of liability
To the fullest extent permitted by law, in no event will we, or our owners, operators, affiliates, contractors, licensors or service providers, or any of their directors, officers, employees or agents (together, the “shownotes.tv Parties”), be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or enjoyment, arising out of or relating to the Site, its content or these Terms, whether based on contract, tort (including negligence), strict liability, statute or any other legal theory, and even if we have been advised of the possibility of such damages.
The Site is free to use. To the fullest extent permitted by law, the shownotes.tv Parties have no liability to you for any claim arising out of or relating to the Site, its content or these Terms, and their total liability is zero (CA$0). Your only remedy for dissatisfaction with the Site is to stop using it. These limits apply even if a remedy fails of its essential purpose, and they are an essential part of the bargain between you and us. Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you, in which case our liability is limited to the smallest amount permitted by law.
12. Release and indemnity
To the fullest extent permitted by law, you release, waive and forever discharge the shownotes.tv Parties from any and all claims, demands, liabilities, damages, losses, costs and expenses of every kind, known or unknown, suspected or unsuspected, arising out of or relating to the Site, its content or these Terms. You accept that unknown claims may exist and intend this release to cover them. If you are a California resident, you waive California Civil Code section 1542, which says: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.” You also waive any similar law of any other jurisdiction.
You agree to defend, indemnify and hold harmless the shownotes.tv Parties from and against any claims, demands, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or relating to your use or misuse of the Site, your Submissions, your breach of these Terms, or your violation of any law or the rights of any third party. We may take over the defence of any such matter at your expense, and you will cooperate with us.
13. Governing law and disputes
These Terms, and any dispute arising out of or relating to them or the Site, are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
You and we submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, and waive any objection to venue or inconvenient forum there. Before starting any proceeding, you agree to first email us at legal@shownotes.tv with a description of your claim and to try in good faith to resolve it informally for at least 30 days.
To the fullest extent permitted by law, you agree that any claim will be brought only in your individual capacity, and not as a plaintiff or class member in any class, collective or representative proceeding, and that any claim must be brought within one (1) year after it arises, or it is permanently barred.
Nothing in this section removes any right you have under mandatory consumer protection laws of the place where you live that cannot be waived by contract.
14. Changes to these Terms or the Site
We may change these Terms at any time by posting the updated version on this page and updating the effective date. Changes apply from the time they are posted. Your continued use of the Site afterwards means you accept the changes. We may change, suspend or discontinue any part of the Site at any time without notice or liability.
15. General
These Terms and our Privacy Policy are the entire agreement between you and us about the Site and replace any prior understanding. If any provision is found unenforceable, it will be enforced to the maximum extent permissible and the rest of these Terms will remain in full effect. Our failure to enforce any right is not a waiver of it. You may not assign or transfer these Terms; we may assign them without restriction, including to a successor owner of the Site. We are not liable for any delay or failure caused by events beyond our reasonable control. Sections 5 to 13 and 15 survive any termination of your access to the Site.
